B2B terms and conditions of sale

1. Scope
Sales are exclusively for business customers. Specific conditions for each transaction are stated in the quotation or commercial offer.
2. Formation of the contract
An order becomes binding after written acceptance of the quotation, validation of the technical and commercial terms and, where applicable, receipt of the deposit.
3. Product characteristics
The buyer is responsible for verifying that the product is suitable for the intended application. Guaranteed characteristics are those stated in the quotation and associated contractual documents.
4. Prices and payment
Prices exclude taxes, transport and ancillary costs unless otherwise stated. Payment terms and due dates are specified in the quotation.
5. Delivery and transfer of risk
Lead times are indicative unless confirmed in writing. Delivery, packaging and transfer-of-risk terms are defined in the quotation.
6. Claims
Any reservation concerning quantity or apparent condition must be made upon receipt in accordance with the conditions stated in the quotation and transport documents.
7. Liability
The seller’s liability is limited to expressly accepted contractual commitments and to the extent permitted by applicable law.
8. Governing law
French law applies. The competent court will be defined in the validated contractual version of the terms and conditions.
